Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LotPulse platform, including our website at lotpulse.ca, web application, APIs, and all related services (collectively, the "Service"), operated by LotPulse Inc. ("LotPulse", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Definitions

  • "Account" means the account you create to access the Service.
  • "Customer Data" means any data, content, or information you upload, submit, or store through the Service, including vehicle inventory, customer records, deal information, and financial data.
  • "Dealership" means the automotive dealership business associated with your Account.
  • "Subscription" means the paid plan you select to access the Service.
  • "User" means any individual authorized to access the Service under your Account.

2. Account Registration

To use the Service, you must create an Account by providing accurate and complete information. You are responsible for:

  • Maintaining the security of your Account credentials.
  • All activities that occur under your Account.
  • Notifying us immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate Accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. Subscriptions and Billing

3.1 Plans and Pricing

The Service is offered through subscription plans as described on our Pricing page. Prices are listed in Canadian dollars (CAD) unless otherwise stated and are subject to applicable taxes.

3.2 Billing Cycle

Subscriptions are billed monthly or annually, depending on the plan selected. Billing begins on the date of purchase and renews automatically at the end of each billing cycle.

3.3 Free Trial

We may offer a free trial period. At the end of the trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial expires.

3.4 Cancellation

You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

3.5 Plan Changes

Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

4. Permitted Use

You may use the Service only for lawful purposes, specifically:

  • Managing your automotive dealership operations, including inventory, sales, financing, and customer relationships.
  • Creating and hosting dealership websites through our Pulse Sites feature.
  • Generating reports, disclosures, and documents in connection with vehicle transactions.

Your use must comply with all applicable federal, provincial, and local laws and regulations, including consumer protection, privacy, and automotive dealer licensing requirements.

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of any data you upload to the Service.

5.2 License to Us

You grant us a limited, non-exclusive license to use, process, and store your Customer Data solely to provide and improve the Service. We will not sell or share your Customer Data with third parties except as described in our Privacy Policy.

5.3 Data Portability

You may export your Customer Data at any time through the Service's built-in export tools. Upon termination, we will make your data available for export for 30 days, after which it may be permanently deleted.

5.4 Data Security

We implement industry-standard security measures to protect your Customer Data, including encryption in transit and at rest, access controls, and regular security audits. However, no method of transmission over the Internet is 100% secure.

6. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by LotPulse Inc. and protected by intellectual property laws. Your Subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during your Subscription term.

You may not:

  • Copy, modify, distribute, or create derivative works of the Service.
  • Reverse-engineer, decompile, or disassemble the Service.
  • Remove or alter any proprietary notices or labels.
  • Sublicense, resell, or transfer your access to any third party.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., payment processors, vehicle data providers, marketing platforms). Your use of third-party integrations is subject to those providers' terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, LotPulse Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the fees you paid during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LotPulse Inc., its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your violation of these Terms.
  • Your use of the Service.
  • Your violation of any applicable law or regulation, including automotive dealer licensing and consumer protection laws.
  • Any Customer Data you upload to the Service.

11. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or engage in conduct that we determine is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your Customer Data after the 30-day export window.

12. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). You waive any right to participate in a class action.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
